    * Says it will merge with its wholly owned units, FMS 
Solution Co Ltd and another one which has been engaged in the 
general building maintenance business in Tokyo, Japan  
    * Says after the transaction, Aeon Delight will be the 
surviving company and the two units will be dissolved  
    * Effective date June 1
