 Results of General Meeting

Celsius Resources Limited ("Celsius" or the "Company") (+ASX, AIM: CLA) is
pleased to advise, in accordance with ASX Listing Rule 3.13.2 and Section
251AA(2) of the Corporations Act, details of the resolutions and proxies
received for the Company's General Meeting held today.

All resolutions were passed on a poll. Poll results and proxies received are
attached.

Following the passing of Resolutions 3 and 7, the Company will proceed with
the allotment and issue of the 2,596,111 new Ordinary Shares pursuant to the
Director Placement Shares and Consideration Shares as detailed in the
announcement on 16 April 2026. Further, following to the passing of
Resolutions 6, the Company will proceed with the Capital Consolidation as
detailed in the announcement on 1 April 2026.

Application has been made to the London Stock Exchange for admission of
2,596,111 new Ordinary Shares to trading on AIM ("Admission"). It is expected
that Admission will become effective and dealings will commence at 8.00 a.m.
on or around 1 May 2026. The new Ordinary Shares will be issued fully paid and
will rank pari passu in all respects with the Company's Existing Ordinary
Shares.

Following Admission, the total number of Ordinary Shares in the capital of the
Company in issue will be 3,722,206,720 Ordinary Shares with voting rights.
This figure may be used by shareholders in the Company as the denominator for
the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, the Company's share
capital under the FCA's Disclosure Guidance and Transparency Rules.
