RESULTS OF COURT MEETING AND DELIVEROO PLC GENERAL MEETING

On 6 May 2025, the boards of Deliveroo plc ("Deliveroo") and DoorDash, Inc.
("DoorDash") announced that they had reached agreement on the terms of a
final(*) 1  (#_ftn1) cash offer for the entire issued and to be issued
ordinary share capital of Deliveroo as recommended by the Deliveroo
Independent Committee (the "Acquisition"). The Acquisition is being
implemented by means of a Court-sanctioned scheme of arrangement under Part 26
of the Companies Act (the "Scheme"). On 22 May 2025, Deliveroo published a
scheme document in connection with the Acquisition, setting out the terms and
conditions of the Scheme (the "Scheme Document").

Deliveroo is pleased to announce that at the Court Meeting to consider and, if
thought fit, approve the Scheme and the General Meeting to consider and, if
thought fit, pass the Resolution relating to the Acquisition, held earlier
today in connection with the Acquisition:

(i)   the requisite majority of eligible Scheme Shareholders voted (either
in person or by proxy) in favour of the resolution to approve the Scheme at
the Court Meeting; and

(ii)   the requisite majority of eligible Deliveroo Shareholders voted
(either in person or by proxy) in favour of the Resolution to implement the
Scheme, including the amendment of the Deliveroo Articles at the General
Meeting.

Details of the resolutions passed are set out in the Notices of the Court
Meeting and the General Meeting contained in Part IX (Notice of Court Meeting)
and Part X (Notice of General Meeting) of the Scheme Document, respectively.

Save as otherwise defined, capitalised terms in this announcement have the
same meanings as set out in the Scheme Document.

The total number of Deliveroo Shares in issue as at the Voting Record Time was
1,511,055,868, of which 13,634,415 shares were held in treasury. Therefore,
the total number of voting rights in Deliveroo as at the Voting Record Time
was 1,497,421,453.

In accordance with UK Listing Rule 6.4.2R, a copy of the Resolution passed at
the General Meeting will be submitted to the National Storage Mechanism and
will be available for inspection at:

Next steps and timetable

 

The outcome of the Meetings means that Conditions 2(a) and 2(b) (as set out in
Part A of Part III (Conditions to the Implementation of the Scheme and to the
Acquisition) of the Scheme Document) have been satisfied.

 

The Acquisition remains subject to the satisfaction (or, where applicable, the
waiver) of the remaining Conditions and further terms set out in the Scheme
Document, including the sanction of the Court at the Sanction Hearing and the
delivery of a copy of the Court Order to the Registrar of Companies. Subject
to the satisfaction or, where applicable, waiver of the remaining Conditions,
the Scheme is expected to become Effective in Q4 2025.

 

The expected timetable of principal events for the implementation of the
Scheme remains as set out on pages 12 and 13 (inclusive) of the Scheme
Document. The dates and times are indicative only and will depend on, amongst
other things, the date upon which: (a) the Conditions are satisfied (or if
capable waiver) waived; (b) the Court sanctions the Scheme; and (c) the Court
Order is delivered to the Registrar of Companies. If any of the dates and/or
times in this expected timetable change, the revised dates and/or times will
be notified to Deliveroo Shareholders by announcement through the Regulatory
Information Service of the LSE.

are final and will not be increased, except that DoorDash reserves the right
to increase the consideration payable under the Acquisition and/or otherwise

to make an offer for Deliveroo by any third party. DoorDash reserves the right
(with the consent of the Takeover Panel, if required), and while the
