("EQTEC", the "Company" or the "Group")

 

Result of Annual General Meeting

 

EQTEC plc (AIM: EQT), a leading licensor and innovator of syngas technology
for clean conversion of the world's waste into sustainable energy and
biofuels, is pleased to announce that at it's Annual General Meeting ("AGM"),
held earlier today, all resolutions put to the meeting were passed on a poll.

The full text of the AGM resolutions is set out in the Company's Circular
dated 29 August 2025. Resolutions 1, 2 and 7 were proposed as special
resolutions and resolutions 3 to 6 were proposed as ordinary resolutions.

 

As at 23 September 2025, the Company's issued share capital consisted of
640,657,138 ordinary shares, carrying one vote per share. In accordance with
the Company's Articles of Association, on a poll every member present in
person or by proxy has one vote for every EQTEC share held.

 

Votes withheld are not votes in law and therefore have not been counted in the
calculation of the proportion of the votes for and against any resolution.

 

Share Capital Reorganisation

 

Further to the passing of resultion 1, the Share Capital Reorganisation will
take effect from the start of business on 29 September 2025. For more
information on the Share Capital Reorganisation  please refer to the
Company's announcement of 29 August 2025 and the Circular.

 

Unless otherwise defined herein, capitalised terms used in this announcement
shall have the same meanings as defined in the Company announcement on 29
August 2025.
