RNS Number : 4797U Frenkel Topping Group PLC 08 August 2025

Frenkel Topping Group plc

("Frenkel Topping", the "Company" or the "Group")

Trading Update to 30 June 2025

Frenkel Topping (AIM: FEN), a specialist financial and professional services
firm operating within the personal injury ("PI") and clinical negligence
("CN") marketplace provides the following trading update for the six-month
period ended 30 June 2025 ("H1 25").

The first six months has seen the Company make good progress against its
strategic plans and solid performance across our subsidiaries.

Recurring revenue has grown following the record levels of Funds Under
Management ("FUM") delivered in FY 2024, with continued growth in FUM during
the first six months of the year, albeit not quite keeping pace with the prior
year. FUM as at 30 June 2025 was £1.63bn (H1 24: £1.46bn) with assets on a
discretionary mandate of £1.1bn (H1 24: £935m).

In the period, Ascencia Investment Management's Sharia Compliant Solutions 4
portfolios have won the Defaqto Defensive Comparator Sector award, with three
other portfolios also being Highly Commended by Defaqto. Based on 5 years of
discrete risk-adjusted performance measures, the Defaqto MPS Comparator awards
recognise the most consistent MPS solutions within the Defensive comparator
sector.

Major Trauma Support Partnership (formerly Cardinal Management) increased its
presence in NHS Major Trauma Centres ("MTC") through the addition of Royal
Stoke University Hospital to its portfolio, taking the total number of MTCs
supported to twelve. We continue to work with the NHS to demonstrate the
benefits of these services and remain committed to increasing our growing
presence across further MTCs to better support the interests of claimants and
the work of their professional representatives.

Growth continues across our transactional businesses, predominantly driven by
increases in the number of Medico-Legal expert witnesses we are engaged with,
enabling us to handle larger volumes of work, as well as improved performance
within our Costs segment. This is aided by the full period impact of the
acquisition of Northwest Law Services, which was announced in April 2024.

Whilst our margin is not immune from the impact of rising employer's national
insurance rates and National Minimum Wage, we are pleased that improved
revenues has also improved the overall performance of the Group which remains
in line with expectations.

Possible Offer from Harwood

On 2 June 2025, it was announced that Harwood Private Equity LLP ("Harwood")
and the independent directors of the Group were in discussions with respect to
a possible cash offer to be made by Harwood for the entire issued and to be
issued ordinary share capital of the Group.

Discussions remain ongoing and a further announcement(s) will be made in due
course as and when appropriate.

As stated in the announcement released on the 28 July 2025, and in accordance
with Rule 2.6(a) of the Code, Harwood is required either to announce a firm
intention to make an offer for the Company in accordance with Rule 2.7 of the
Code or to announce that it does not intend to make an offer, in which case
the announcement would be treated as a statement to which Rule 2.8 of the Code
applies. Such announcement must be made by not later than 5.00pm on 25 August
2025. This deadline can be further extended with the agreement of the
Independent Directors and the consent of the Panel in accordance with Rule
2.6(c) of the Code.

The Company remains in an 'offer period' in accordance with the rules of the
Code and the attention of the Company's shareholders is drawn to the
continuing disclosure requirements of Rule 8 of the Code, which are summarised
below.

Outlook

The business takes confidence from the first half performance and the Board
believes that the Company is well positioned to continue to deliver against
its strategic objectives, with overall trading in line with management's
expectations.

any class of relevant securities of an offeree company or of any securities
exchange offeror (being any offeror other than an offeror in respect of which
it has been announced that its offer is, or is likely to be, solely in cash)

to subscribe for, any relevant securities of each of (i) the offeree company
and (ii) any securities exchange offeror(s). An Opening Position Disclosure by

Dealing Disclosure.

Under Rule 8.3(b) of the Code, any person who is, or becomes, interested in 1%
or more of any class of relevant securities of the offeree company or of any

(ii) any securities exchange offeror(s), save to the extent that these details
have previously been disclosed under Rule 8. A Dealing Disclosure by a person
to whom Rule 8.3(b) applies must be made by no later than 3.30 pm (London
time) on the business day following the date of the relevant dealing.

If two or more persons act together pursuant to an agreement or understanding,
whether formal or informal, to acquire or control an interest in relevant
securities of an offeree company or a securities exchange offeror, they will
be deemed to be a single person for the purpose of Rule 8.3.

Opening Position Disclosures must also be made by the offeree company and by
