aggregate principal amount of HK$200 million
* Conversion price is HK$0.46 per share
* Gross and net proceeds from issue of convertible bonds are
HK$200 million and about HK$199.7 million respectively
* Is in discussion with independent third party, for
potential acquisition of group engaged in business of
manufacturing concrete in PRC
