Tender Offers for 2026 Notes and 2027 Notes
Kuwait Projects Company (Holding) K.S.C.P. (KIPCO), in its capacity as the Obligor of Kuwait Projects Company Sukuk Limited, announced that it has launched tender offers to repurchase in cash and cancel any and all of the following outstanding notes so tendered on terms and subject to the conditions and restrictions set out in tender offer memorandum made available to the eligible noteholders:
1. US$ 500mn notes due 29 October 2026 ("2026 Notes") issued by Kuwait Projects Co SPC Limited and irrevocably guaranteed by KIPCO and
2. US$ 500mn notes due 23 February 2027 ("2027 Notes") issued by Kuwait Projects Co SPC Limited and irrevocably guaranteed by KIPCO.
The purpose of the tender offers is to optimise the debt structure of KIPCO and its subsidiaries. Notes repurchased by KIPCO pursuant to the Offers will be cancelled and will not be re-issued or re-sold. Notes which have not been validly submitted and accepted for purchase pursuant to the Offers will remain outstanding.
