Exercise of Warrants, Issue of Equity & TVR
Mast Energy Developments PLC, the UK-based multi-asset owner, developer, and
operator in the rapidly growing Flexible Generation Power market, announces
that it has received notices of the exercise of Prepaid- and Cash Warrants,
issued pursuant to the Equity Fundraise announced on 11 July 2025, for a total
of 1,500,000 ordinary shares in the Company at a price of 4 pence per ordinary
share.
Application will be made for the admission of the 1,500,000 new ordinary
shares to trading on the LSE ("Admission") pursuant to the authorities
approved by shareholders at the General Meeting on 8 July 2025. The Shares
will rank pari passu with the existing ordinary shares and it is expected that
Admission will become effective at 8.00 a.m. on 28 August 2025.
Following Admission, the Company's issued share capital will consist of
14,748,927 ordinary shares with voting rights. MED does not hold any
ordinary shares in treasury. This figure of 14,748,927 may be used by
shareholders in the Company as the denominator for the calculations by which
they will determine if they require to notify their interest in, or a change
to their interest in, the share capital of the Company under the UK Financial
Conduct Authority's Disclosure Guidance and Transparency Rules.
Following Admission, the beneficial holding of Paul Venter, non-executive
director and chairman of the Company, will change from 14.79% to 13.28%
interest in the issued share capital of the Company. Further, following
Admission, the beneficial holding of Riverfort Global Opportunities PCC Ltd
will change from 12.87% to 11.56%.
