RE: SUBSTITUTION OF ISSUER

Substitution of the Issuers in connection with notes issued under the EUR 20,000,000,000 Secured Transaction Programme of Claris Limited, Claris 2 Limited, Claris III Limited, Claris IV Limited, Iris SPV plc and Iris II SPV Designated Activity Company (the "Programme") with Iris SPV plc

Iris II SPV Designated Activity Company wishes to announce that, pursuant to the written consent of the noteholders on 29 June 2020, it entered into:

(1)  a deed of amendment dated 29 June 2020 in relation to the Series 100/2014 Notes (as defined below) under the Programme between Iris SPV plc, HSBC Corporate Trustee Company (UK) Limited, HSBC Bank plc and HSBC France, Dublin Branch, pursuant to which, Iris SPV plc assumed all rights, obligations and liabilities of Iris II SPV Designated Activity Company in respect of the Series 100/2014 Notes and the Transaction Documents insofar as the same relate to the Series 100/2014 Notes and agreed to acquire the Mortgaged Property as defined in the Principal Trust Deed and Iris II SPV Designated Activity Company was released and discharged from all its obligations and liabilities in respect of the Series 100/2014 Notes, the Transaction Documents and the Iris II Custody Agreement insofar as the same relates to the Series 100/2014 Notes;

 

(2)  a deed of amendment dated 29 June 2020 in relation to the Series 101/2014 Notes (as defined below) under the Programme between Iris SPV plc, HSBC Corporate Trustee Company (UK) Limited, HSBC Bank plc and HSBC France, Dublin Branch, pursuant to which, Iris SPV plc assumed all rights, obligations and liabilities of Iris II SPV Designated Activity Company in respect of the Series 101/2014 Notes and the Transaction Documents insofar as the same relate to the Series 101/2014 Notes and agreed to acquire the Mortgaged Property as defined in the Principal Trust Deed and Iris II SPV Designated Activity Company was released and discharged from all its obligations and liabilities in respect of the Series 101/2014 Notes, the Transaction Documents and the Iris II Custody Agreement insofar as the same relates to the Series 101/2014 Notes;

 

(3)  a deed of amendment dated 29 June 2020 in relation to the Series 102/2014 Notes (as defined below) under the Programme between Iris SPV plc, HSBC Corporate Trustee Company (UK) Limited, HSBC Bank plc and HSBC France, Dublin Branch, pursuant to which, Iris SPV plc assumed all rights, obligations and liabilities of Iris II SPV Designated Activity Company in respect of the Series 102/2014 Notes and the Transaction Documents insofar as the same relate to the Series 102/2014 Notes and agreed to acquire the Mortgaged Property as defined in the Principal Trust Deed and Iris II SPV Designated Activity Company was released and discharged from all its obligations and liabilities in respect of the Series 102/2014 Notes, the Transaction Documents and the Iris II Custody Agreement insofar as the same relates to the Series 102/2014 Notes;

 

(4)  a deed of amendment dated 29 June 2020 in relation to the Series 103/2016 Notes (as defined below) under the Programme between Iris SPV plc, HSBC Corporate Trustee Company (UK) Limited, HSBC Bank plc and HSBC France, Dublin Branch, pursuant to which, Iris SPV plc assumed all rights, obligations and liabilities of Iris II SPV Designated Activity Company in respect of the Series 103/2016 Notes and the Transaction Documents insofar as the same relate to the Series 103/2016 Notes and agreed to acquire the Mortgaged Property as defined in the Principal Trust Deed and Iris II SPV Designated Activity Company was released and discharged from all its obligations and liabilities in respect of the Series 103/2016 Notes, the Transaction Documents and the Iris II Custody Agreement insofar as the same relates to the Series 103/2016 Notes;

 

(5)  a deed of amendment dated 29 June 2020 in relation to the Series 104/2016 Notes (as defined below) under the Programme between Iris SPV plc, HSBC Corporate Trustee Company (UK) Limited, HSBC Bank plc and HSBC France, Dublin Branch, pursuant to which, Iris SPV plc assumed all rights, obligations and liabilities of Iris II SPV Designated Activity Company in respect of the Series 104/2016 Notes and the Transaction Documents insofar as the same relate to the Series 104/2016 Notes and agreed to acquire the Mortgaged Property as defined in the Principal Trust Deed and Iris II SPV Designated Activity Company was released and discharged from all its obligations and liabilities in respect of the Series 104/2016 Notes, the Transaction Documents and the Iris II Custody Agreement insofar as the same relates to the Series 104/2016 Notes; and

 

(6)  a deed of amendment dated 29 June 2020 in relation to the Series 105/2018 Notes (as defined below) under the Programme between Iris SPV plc, HSBC Corporate Trustee Company (UK) Limited, HSBC Bank plc and HSBC France, Dublin Branch, pursuant to which, Iris SPV plc assumed all rights, obligations and liabilities of the Iris II SPV Designated Activity Company in respect of the Series 105/2018 Notes and the Transaction Documents insofar as the same relate to the Series 105/2018 Notes and agreed to acquire the Mortgaged Property as defined in the Principal Trust Deed and Iris II SPV Designated Activity Company was released and discharged from all its obligations and liabilities in respect of the Series 105/2018 Notes, the Transaction Documents and the Iris II Custody Agreement insofar as the same relates to the Series 105/2018 Notes.

 

Claris IV Limited wishes to announce that, pursuant to the written consent of the noteholders on 29 June 2020, it entered into:

(1)     a deed of amendment dated 29 June 2020 in relation to the Series 106/2016 Notes (as defined below) under the Programme between Iris SPV plc, HSBC Corporate Trustee Company (UK) Limited, HSBC Bank plc and HSBC France, Dublin Branch, pursuant to which, Iris SPV plc assumed all rights, obligations and liabilities of Claris IV Limited in respect of the Series 106/2016 Notes and the Transaction Documents insofar as the same relate to the Series 106/2016 Notes and agreed to acquire the Mortgaged Property as defined in the Principal Trust Deed and Claris IV Limited was released and discharged from all its obligations and liabilities in respect of the Series 106/2016 Notes, the Transaction Documents and the Claris IV Custody Agreement insofar as the same relates to the Series 106/2016 Notes.

There has been no significant change in the financial or trading position of Iris II SPV Designated Activity Company and no material adverse change in the financial position or prospects of Iris II SPV Designated Activity Company since the date of the most recently published accounts for the financial year ended 30 June 2019. There has been no significant change in the financial or trading position of Claris IV Limited and no material adverse change in the financial position or prospects of Claris IV Limited since the date of the most recently published accounts for the financial year ended 30 June 2019.

There are no governmental, legal or arbitration proceedings (including any such proceedings which are pending or threatened of which either Issuer is aware) which may have, or have had since the incorporation of Iris II SPV Designated Activity Company on 28 May 2007 and the incorporation of Claris IV Limited on 7 September 2006, a significant effect on its financial position or its profitability.
