RE: NOTICE TO SECURITYHOLDERS
 
 
Reference is made to the credit derivative transaction entered into between Metrix Portfolio Distribution plc (the "Company") as Seller and HSBC Bank plc as Buyer in connection with the Securities, the terms and conditions of which were confirmed between the parties on the Issue Date of the Securities (the "Credit Derivative Transaction").
 
Capitalised terms used in this notice and not defined herein shall have the meaning set out in the Credit Default Swap and the Supplemental Information Memorandum dated 17 December 2015 in respect of the Securities.
 
The purpose of this notice is to inform you that the Company has received a Credit Event Notice from the Credit Event Monitor Agent confirming to the Company that a Bankruptcy Credit Event occurred with respect to Reference Obligation 1101 (the "Reference Obligation Identifier") and Reference Entity 1021208752  (the "Reference Entity Identifier") on 26 June 2020, when the Reference Entity sought the appointment of an administrator.
 
The Credit Event Notice issued by the Credit Event Monitor Agent to the Company also confirmed to the Company that (i) the Credit Event has occurred after the Effective Date of the Credit Derivative Transaction and before the relevant Reference Obligation Due Date and (ii) the Credit Event has not been remedied or waived.
