Jan 19 (Reuters) - Okamoto Machine Tool Works Ltd  6125.T  : 
     
    * Says its top shareholder OSG Corp will sell entire 4.5 
million shares in co to an individual who is the co's current 
second major shareholder, and OSG will hold no stake in co after 
transaction  
    * Says the individual's stake in co will be raised to 14.89 
percent from 4.60 percent and to be the top shareholder  
    * Changes will occur on Jan. 24
