Requisition of a General Meeting of Sanderson Design Group plc pursuant to section
303 of the Companies Act 2006
We refer to the section 303 notice of requisition of general meeting served upon
Sanderson Design Group plc ("Sanderson", the "Company", "you" and "your") under
separate cover (the "Requisition"), for and on behalf of various entities managed by LBV
Asset Management LLP ("LBV", "we", "us" and "our").
The Requisition is necessarily and intentionally concise. The purpose of this letter is to
explain the reasons for it, the engagement that preceded it and-equally importantly-
the limits of what we are asking shareholders to decide.
