    * Says its wholly owned unit, which is mainly engaged in
planning,
manufacture and sales of handbag and leather goods will merge
with the company's two wholly owned Tokyo-based units 
    * Merger effective July 1
    * Says the two Tokyo-based units will be dissolved after the
