Block Listing of Shares

The Company announces that an application has been made to the Financial
Conduct Authority (the "FCA") and the London Stock Exchange (the "LSE") for a
block listing of six million (6,000,000) ordinary shares of one (1) penny each
in the capital of the Company ("Block Listing Shares") to be admitted to the
Official List of the UK Listing Authority and to trading on the main market of
the LSE ("Admission").

 

These Block Listing Shares are being reserved under a block listing. When
issued, the Block Listing Shares shall rank pari passu in all respects with
the existing issued ordinary shares of the Company.

 

The application is being made in respect of shares that will be issued by the
Company to the trustees of the W.A.G payment solutions plc - Employee Share
Plan ("ESP") and the W.A.G payment solutions plc - Long Term Incentive Plan
("LTIP").

 

 Number of Shares  Share Option Scheme

 6,000,000         ESP and LTIP

 

 

Admission is expected to become effective at 8.00 am on Friday, 1 November
2024.
