* Says it plans to buy 100 percent stake in WITH CORPORATION
for 795.5 million yen(advisory fees included)
* Says WITH CORPORATION is mainly engaged in SP tools and
speech recognition modules business
* Says the three wholly owned units of WITH CORPORATION will
be also transferred the co after the acquisition
* Says effective date on Aug. 31
