This Financial Services Guide (FSG) is dated 31 October 2022 and is provided to you by Stockopedia Ltd ABN 39 757 874 670 UK business registration number 0637267 (“Stockopedia”) to inform you of the financial services provided by us and to comply with our obligations as an Authorised Representative of Daylight Financial Group Pty Ltd ABN 77 633 984 773 (“Daylight”, “DFGPL”) which is the holder of an Australian Financial Services Licence (AFS Licence No. 521404).

This FSG is meant to assist you to decide whether to use our services and to explain:

• who we are;

• what financial services we provide and the products to which those services relate;

• what our responsibilities are and what type of advice we give;

• how you can instruct us;

• what you can expect to pay for the financial services;

• what remuneration and other benefits may be paid to us, our employees or others;

• what to do if you have a complaint, and how it will be dealt with;

• for what purpose we use your contact data; and

• how you can contact us.

Unless specified otherwise, a reference to ‘we’, ‘our’ of ‘us’ in this FSG is a reference to Stockopedia Ltd, this includes its agents/employees/directors.

We also encourage you to read the Terms of Use carefully, as they set out in further detail your legal rights and obligations in relation to the use of Stockopedia’s Website and any of the services available through it.

This FSG is intended only for distribution in Australia and is relevant only in relation to financial services provided in the Australian jurisdiction.

What services we may provide to you

Stockopedia may provide general financial product advice through its platform, (herein referred to as the “Stockopedia App”), its licenced agents and through its directors and employees.

The Stockopedia App is available through an online site www.stockopedia.com/en-au and is available to Retail investors.

Stockopedia provides access to its analysis of all listed companies and entities on the Australian Securities Exchange (ASX), including market and stock specific commentary. We also provide information on companies and other listed vehicles on global exchanges through the Stockopedia App. For further information on Stockopedia App subscriptions, please read our Terms of Use.

The Stockopedia App is not in itself a ‘financial product’ as defined under relevant law, but it may provide financial services in the form of general financial product advice. Stockopedia is authorised to provide these services by DFGPL (AFSL 521404).

We may also provide general financial product advice to you on securities via another financial services provider (e.g. an adviser), who has a subscription to use the Stockopedia App. General advice you receive from us under this arrangement will be sourced by your other financial service provider separate from the Stockopedia App and provided to you in a written report form, which will include our details.

Where we provide general financial product advice through the Stockopedia App, we act for the clients to whom these services are provided. (In the above example, the services are provided by us to an adviser – so, we act for the adviser, not for you.)

Who will be providing financial services to you?

Financial services will either be provided to you by Stockopedia through the Stockopedia App and/or Stockopedia’s employees and agents. The most relevant relationships are disclosed below.

Stockopedia

Stockopedia Ltd (ABN 39 757 874 670 UK business registration number 0637267) is a corporate authorised representative (CARN 1300099) of Daylight Financial Group Pty Ltd ABN 77 633 984 773 AFS Licence No. 521404

Stockopedia makes available the Stockopedia App that clients may subscribe to for access to factual market data and analysis, including general advice on shares. Stockopedia also offers supportive tools and education to aid the investment decision.

Stockopedia is a representative of, and acts on behalf of DFGPL. DFGPL is an investment and financial services business and provides general advice and services to both private investors and corporate clients through a suite of different offerings that can cater for both retail and wholesale clients. Stockopedia does not act as a representative of any other licensee in relation to the financial services or products it provides.

Daylight Financial Group

Daylight Financial Group Pty Ltd (DFGPL) is the holder of an Australian Financial Services Licence (AFSL) number 521404 and has authorised Stockopedia to provide financial services on its behalf and is ultimately accountable to you.

DFGPL is an investment and financial services business, servicing both private investors and corporate clients, through a suite of different offerings that can cater for both retail and wholesale clients.

To the extent that Stockopedia, it’s directors, employees, or agents provide financial services, all act as representatives of DFGPL.

Important: Neither Stockopedia nor Daylight Financial Group Pty Ltd is responsible to you for services provided to you by any other third party, including other financial service providers (e.g. advisers). You should refer to the FSG of your other financial services provider for further information about the services they offer.

What kinds of financial services are we authorised to provide you and what kinds of products do those services relate to?

Stockopedia has been authorised by DFGPL to provide general financial product advice on the following financial products:

  • deposit and payment products
  • debentures, stocks or bonds issued or proposed to be issued by a government
  • derivatives
  • interests in managed investment schemes (including IDPSs)
  • retirement savings accounts
  • securities (such as shares)
  • superannuation

Stockopedia also has authorisation to deal in a financial product by applying for, acquiring, varying or disposing of a financial product on behalf of another person, in respect of the following classes of financial products:

  • derivatives
  • interests in managed investment schemes (including IDPSs)
  • securities (such as shares)
  • superannuation

Will you be provided with advice that is suitable to your investment needs and financial circumstances?

No.

Where we provide you with advice, it will be general financial product advice only.

Our advice will be prepared without taking into account your individual objectives, financial situation or needs; and because of this, before acting on the advice you should consider the appropriateness of the advice having regard to your objectives, financial situation and needs.

Should any advice relate to the acquisition or possible acquisition of a particular financial product, you should obtain a copy of, and consider, the Product Disclosure Statement (PDS) and Target Market Determination (TMD) before making any decision.

What charges will you incur?

If you choose to purchase a subscription to the Stockopedia App, you will be charged on a subscription basis.

Subscription costs for the Stockopedia App are payable to Stockopedia and will vary depending on the package that you choose. Stockopedia may also vary its pricing from time to time by providing special offers. All subscription offers (including trial subscriptions) are subject to acceptance of the licence and terms and conditions. All prices are in Australian dollars and include GST. Prices and details of the Stockopedia offering are as follows:

Stockopedia App trial subscription:

First access to the Stockopedia App is on a ‘trial’ basis. The duration of any Trial Period shall be as specified on the Website and at the time of signing up.

Use of the Stockopedia App shall be free of charge during the Trial Period. However, you will be required to provide your credit card/ PayPal details at the time of taking up the offer to trial the Stockopedia App. This is to protect our intellectual property, avoid machine input and prohibit malicious access to our systems.

IMPORTANT: Unless you provide Stockopedia with notice to terminate the subscription service prior to the end of the Trial Period (by unsubscribing on the Website), the Charges provisions shall apply and govern your ongoing use of the Stockopedia App.

You may only have one Trial Period. Should we identify that you have already made use of a Free Trial Period with the Subscription Service, you will immediately be billed for the Charges.

Stockopedia App full subscription:

Subscriptions for the Stockopedia App can be purchased on an annual or per month basis. You will set this billing period at the beginning of your trial subscription.

Unless you provide Stockopedia with notice to terminate the subscription service prior to the end of the Trial Period (by unsubscribing on the Website), the Charges provisions shall apply and govern your ongoing use of the Stockopedia App.

This subscription allows you to access the Stockopedia App and all related services via a ‘User identification and password’ by signing in at www.stockopedia.com.

... a subscriber to the Stockopedia App, you cannot provide reports or information to third parties.

Your subscription is payable in a single annual payment or via monthly payments. Please refer to Table 1 at the end of this document for purchase prices.

Should you decide to cancel your initial subscription within 30 days of joining the service you may be entitled to a full refund. Should the initial 30 days be exhausted then refunds are not payable in the case of either the per month or 1-year subscriptions.

Your subscription will be due for renewal at the end of your subscription period. Renewals are payable either as a single annual payment or on a monthly basis. The ’30-day money back guarantee’ does not apply to renewal subscriptions.

At the end of a subscription or renewal term, pricing may be adjusted for the next subscription period by an amount considered by Stockopedia to be reasonable. We will give you notice of pricing changes before the next subscription period starts.

Additionally, Stockopedia may increase the subscription fees at its discretion prospectively if it deems necessary or where the Stockopedia offering may change. If we increase our prices, we will give you notice before this occurs.

Educational training:

If you undertake educational training provided by Stockopedia, Stockopedia may charge a fee for that training. Fees will depend on the specific training undertaken and will be advertised at the time the training is offered.

Commercial introducer rewards program:

Stockopedia may have arrangements with third-party commercial introducers. For every person referred that purchases an initial subscription to the Stockopedia App, Stockopedia may pay a finder’s fee from nil up to 50% of the purchase price to the commercial introducer.

For example: If you were referred to us by a commercial introducer and you purchased a one-year subscription to the Stockopedia App priced at $475, the commercial introducer may be entitled to a finder’s fee from nil up to $215.91 ex-GST.

Note: this commercial introducer rewards program does not extend to DFGPL. Details of their agreement are outlined below.

Other referral payments

Stockopedia may make referral payments to third parties that distribute promotional material about the Stockopedia app. Referral payments may consist of a rebate to the distributor of all or part of the subscription fees arising from sales of Stockopedia App subscriptions to clients of the distributor.

Stockopedia may also receive referral payments from a third party for assisting with the distribution of information, products and services provided by the third party. Any information, product or service provided by a third party is issued by the third party in its own right, not on behalf of Stockopedia or Daylight Financial Group Pty Ltd.

What other remuneration or other benefits we may receive in relation to the financial services we provide?

Staff representatives-remuneration

Stockopedia’s non-sales staff are remunerated on a fixed salary basis. The Executive Team of Stockopedia, and other staff representatives of Stockopedia may benefit from a share in any profits of Stockopedia.

Stockopedia staff may be eligible for an annual bonus (in addition to their fixed salary) based on their period of employment and performance during a financial year, or if Stockopedia meets internal business targets including targets relating to the sale of subscriptions to the Stockopedia App.

Do any relationships or associations exist that might influence us in providing you with financial services?

Stockopedia is a corporate authorised representative (CAR 1300099) of Daylight Financial Group Pty Ltd ABN 77 633 984 773, the authorising licensee (AFS Licence No. 521404).

Stockopedia has appointed SOAus Pty Ltd (ABN 15 660 969 666) as the exclusive manager of its Australian operations. This extends to the delivery of research, editorial, marketing and client support services. They also support Stockopedia and the team to continue to meet their ongoing legal and compliance obligations.

SOAus is also authorised by Daylight Financial Group Pty Ltd as a corporate authorised representative (CAR 1297929).

SOAus receives fees from Stockopedia to conduct its business. Fees are calculated based on the number of subscribers Stockopedia has within Australia, with revenue split as a percentage between new subscribers and existing.

These fees also incorporate amounts Stockopedia pays in relation to Stockopedia’s appointment and obligations as a corporate authorised representative of Daylight Financial Group Pty Ltd.

Daylight Financial Group Pty Ltd does not receive any ongoing remuneration or benefit for the financial services provided by Stockopedia, its directors, or employees outside of the fees expressed above.

Details of Associations or Relationships

Stockopedia has relationships with third party global financial data suppliers.

Currently this includes Refinitiv, and Smart Insider. Stockopedia believes these relationships do not influence the provision of financial services by Stockopedia to you.

Who can you complain to if you have a complaint about the services that we provide?

If you have any complaints about the service that we provide, please take the following steps:

  • Contact Stockopedia’s Subscription Services Team by email at support@stockopedia.com. We will endeavour to resolve any client complaint or query as soon as possible.
  • If you prefer, you can lodge your complaint in writing to: Managing Director, Daylight Financial Group Pty Ltd, PO Box 333, Avondale Heights VIC 3034.
  • If you do not receive a satisfactory outcome, you have the right to complain to the Australian Financial Complaints Authority. The contact details for the Australian Financial Complaints Authority are GPO Box 3, Melbourne, Victoria, 3001 or phone 1800 931 678 (free call).
  • Alternatively email the Australian Financial Complaints Authority at info@afca.org.au or fax (03) 9613 6399.

The Australian Securities and Investments Commission (ASIC) also has an Info line number 1300 300 630 which you may use to make a complaint and obtain information about your rights.

Daylight Financial Group Pty Ltd is regulated by ASIC and is a member of AFCA.

Professional Indemnity insurance

As required by financial services laws, DFGPL holds Professional Indemnity insurance in place that covers the activities of current and former representatives for financial services provided by or on behalf of Daylight Financial Group Pty Ltd. In our view, this insurance satisfies the requirements for compensation arrangements under the Corporations Act and Regulations 2001.
