CHANGES TO THE COMPOSITION OF BOARD COMMITTEES

 

DFI Retail Group Holdings Limited ("DFI") is pleased to announce the following
changes to the composition of the committees of the board of directors of DFI
(the "Board").

 

With effect from 8 May 2026, Christian Nothhaft has stepped down as a member
of the Remuneration Committee and Nominations Committee.

 

With effect from 20 May 2026, Irene Liu and Dave Cheesewright have been
appointed as members of both the Remuneration Committee and Nominations
Committee, while Raymond Co has stepped down as a member of the Remuneration
Committee and Nominations Committee. In addition, Dave Cheesewright has
stepped down as a member of the Audit Committee with effect from the same
date.

 

The Board considers that these changes will enhance the composition of the
relevant Board committees by ensuring an appropriate balance of skills and
experience, and will enable them to continue to discharge their duties and
responsibilities effectively.
