    * Says it plans to merge with wholly owned subsidiary PHA 
Electric & Electronics, an automobile components maker, with 
merger ratio of 1:0 between the two companies 
    * Says the company will survive and the unit will be 
dissolved after merger 
    * Expected merger effective date is Dec. 29
