Issue of Advisor Warrants

 

Total Graphite plc (TGR.L), the specialist flake graphite company and supplier
of the critical mineral for the global energy transition, announces the issue
of warrants to advisors in connection with recent fundraisings completed over
2025.

 

Advisor Warrants

 

As part of remuneration for their services, the Company has issued to Optiva
Securities limited, AlbR Capital Limited, and MUSST Investments LLP, a total
of 20,483,333 Warrants to subscribe for new Ordinary Shares in connection with
the Company's recent fundraisings (the "Advisor Warrants").

 

The Advisor Warrants awards are as below:

^ At the request of AlbR Capital Limited, these warrants will be issued to
certain employees of AlbR Capital Limited

* vesting 50% if the share price trades on a 10-day volume weighted average
price ("VWAP") at 3.0p, and 50% if it trades on the same terms at 4.5p

 

The total amount of Advisor Warrants granted represent approximately 2.68% of
the current issued share capital of the Company.

 

The exercise of the Advisor Warrants is subject to the Company obtaining the
necessary share issue authorities from its shareholders.
